Tally Systems FAQ regarding product transition for TS.Census products

On April 25, 2005 Novell completed the acquisition of Tally Systems to expand its Novell® ZENworks® systems management offering.

Below, you will find answers to common questions about when and how product and support transitions will take place for TS.Census. This page addresses questions about product continuity, upgrade entitlements, maintenance, technical support, and special offers.

Novell has established a transition period for TS.Census customers during which they can continue to purchase licenses, upgrade to the License Compliance Suite, and renew maintenance€”all at Tally Systems prices in effect as of the acquisition. The transition period is effective from March 31, 2005 until general availability of ZENworks Asset Management 7.0 (targeted for release in summer €˜05).

Q. Will TS.Census continue to be sold?
A. TS.Census will become ZENworks Asset Management. New features that had been planned for the next release of TS.Census will be rolled into ZENworks Asset Management 7.0 (targeted for release in summer '05).

Q. Will Knowledgebase (Product Recognition Updates - PRUs) and software updates still be made available for TS.Census?
A. Yes. According to the terms of the standard Tally Systems maintenance agreement, Novell will continue to supply PRUs and software updates for the current release and one previous release. For example, when ZENworks Asset Management 7.0 ships, we will continue to supply PRUs/software updates for TS.Census v3.2 until a subsequent release of ZENworks Asset Management.

Q. Will ZENworks Asset Management be sold separately or will it be folded into ZENworks Suite?
A. ZENworks Asset Management will be sold separately.

Q. Is there a discount for TS.Census customers who would like to purchase the full ZENworks Suite?
A. Novell is offering a 50% discount off the list price of ZENworks Suite, Desktop Management, or Server Management from May 2, 2005 until October 31, 2005.

Q. I read that Novell is already shipping ZENworks Asset Management. Can I upgrade now?
A. For TS.Census customers, the initial release of ZENworks Asset Management that you can upgrade to is ZENworks Asset Management 7.0.

Q. I have been evaluating TS.Census and now I want to purchase€”what product do I receive?
A. You will receive ZENworks Asset Management. See the next question for details on how TS.Census licensed components map to ZENworks Asset Management.

Q. Am I entitled to ZENworks Asset Management 7.0 when it is released this summer?
A. TS.Census Asset Inventory customers who are under a current maintenance agreement at that time are entitled to the Asset Inventory component of ZENworks Asset Management.

All other TS.Census customers (TS.Census License Compliance Suite; TS.Census Asset Inventory + Usage Usage; TS.Census Asset Inventory + Software Compliance Module) who are under a under a current maintenance agreement at that time are entitled to full ZENworks Asset Management.

Q. If I own just TS.Census Asset Inventory as of the release of ZENworks Asset Management 7.0, how much will it cost to upgrade to the full ZENworks Asset Management product?
A. List price for TS.Census Asset Inventory customer to upgrade to full ZENworks Asset Management is $25/‚¬28 (volume licensing and channel discounts available).

Q. What product do I receive if I purchase as a new customer during the transition period?
A. Beginning May 2, 2005 all new customers will receive ZENworks Asset Management 3.3 until version 7.0 is released.

Q. What if my Tally Systems maintenance agreement is not current when ZENworks Asset Management 7.0 is released?
A. Any TS.Census customer with a valid perpetual license can obtain and upgrade to ZENworks Asset Management by purchasing Novell Upgrade Protection or Maintenance.

Q. How long can I purchase license increases and additional modules and renew maintenance for TS.Census?
A. During the transition period effective March 31, 2005 until general availability of ZENworks Asset Management 7.0 (targeted for release in summer '05), existing TS.Census customers can continue to purchase TS.Census licenses, upgrades to the License Compliance Suite and maintenance.

Note: TS.Census Asset Inventory customers can only upgrade to the License Compliance Suite€”the Usage Module and Software Compliance Module will not be offered separately.

Q. After the release of ZENworks Asset Management 7.0, can I still purchase TS.Census license increases, maintenance renewals and upgrades to the License Compliance Suite?
A. Following the release of ZENworks Asset Management, current customers can continue to purchase TS.Census license increases and upgrades to the License Compliance Suite through their current maintenance renewal dates.

Q. What prices are in effect during the transition period?
A. Tally Systems list pricing as of March 31, 2005 will remain in effect during the transition period.

Q. I purchased Tally Systems software through a reseller€”can I continue to do so in the future?
A. During the transition period, Novell will honor existing reseller relationships and terms to allow TS.Census customers to purchase licenses and maintenance as outlined on this page. Many Tally Systems resellers are already Novell resellers and we expect to maintain these relationships going forward.

Q. Can I still get TS.Census training?
A. Regularly scheduled TS.Census training will continue through the transition period. Following that, please contact your Novell sales representative to discuss training options.

Q. What if I am already a Novell customer with a volume license agreement in place?
A. In this case, both agreements are still in effect. When your Tally Systems maintenance agreement ends, you can roll all Novell products under a single Novell agreement.

Q. What about my current maintenance plan with Tally Systems€”is that still in effect?
A. Yes. All current support agreements will remain in effect through their current end date€”at which time you can renew under one of Novell€™s maintenance/support plans.

A. You will be working with many of the same technical support professionals that you have in the past. Use the same contact information (phone number, email etc.) as in the past until notified.
